Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and ZDottedLine Inc., a Florida corporation ("Company," "Zdottedline," "we," "us," or "our"). By accessing or using the Zdottedline e-signature platform (the "Service"), you agree to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.
1. Service Description
Zdottedline provides an electronic signature and document management platform that enables users to upload documents, collect legally binding electronic signatures, and verify document integrity through cryptographic hash chains anchored to the Polygon blockchain.
2. Account Registration
To use our Service, you must create an account with accurate, complete, and current information. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. If you are using the Service on behalf of a business, that business must be legally organized.
3. Electronic Signatures
By using Zdottedline to sign documents, you acknowledge that electronic signatures created through our platform are intended to be legally binding under applicable law, including the United States Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. § 7001 et seq.), the Uniform Electronic Transactions Act (UETA), and Regulation (EU) No 910/2014 (eIDAS). Each signature captures the signer's intent, identity verification data, IP address, timestamp, and user agent for evidentiary purposes.
Zdottedline does not provide legal advice regarding the enforceability of electronic signatures in any particular jurisdiction or for any particular transaction. Some documents may require wet-ink signatures, notarization, or other formalities under applicable law. You are solely responsible for determining whether electronic signatures are appropriate for your documents and compliant with applicable requirements.
4. Document Handling and Customer Data
You retain all ownership rights to documents you upload ("Customer Data"). We do not access, review, or modify the content of your documents except as strictly necessary to provide the Service (e.g., rendering documents for signing, generating completed copies). Documents are encrypted at rest using AES-256 server-side encryption and are accessible only to authorized parties through time-limited signed URLs.
Upon termination or expiration of your account, you will have thirty (30) days to export your Customer Data. After this period, we will delete your Customer Data from our active systems, subject to legal retention requirements for audit logs (see Section 8).
5. Intellectual Property
The Service, including all software, code, algorithms, user interface designs, trademarks, logos, and documentation, is the exclusive property of ZDottedLine Inc. and is protected by United States and international intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during your subscription period. You may not copy, modify, distribute, reverse engineer, decompile, or create derivative works of any part of the Service.
You grant Zdottedline a limited license to process your Customer Data solely for the purpose of providing the Service.
6. Acceptable Use
You agree not to use the Service to:
- Upload illegal, fraudulent, defamatory, or harmful content
- Forge signatures, misrepresent identity, or impersonate others
- Attempt to circumvent, disable, or interfere with security measures
- Interfere with the Service, its infrastructure, or other users' access
- Violate any applicable law, regulation, or third-party rights
- Transmit viruses, malware, or other harmful code
- Use the Service for any purpose that competes with Zdottedline
- Scrape, crawl, or harvest data from the Service
7. Subscription Plans and Payment
Paid plans are billed monthly or annually through our payment processor, Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on file at the beginning of each billing cycle.
Auto-Renewal: Subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current rate unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time within a paid period.
Renewal Notification: For annual plans, we will send a renewal reminder at least fourteen (14) days before the renewal date. You may cancel at any time prior to renewal through your account settings or by contacting support.
Price Changes: We will provide at least thirty (30) days' written notice of any price increases. Price changes take effect at the start of the next billing cycle following the notice period.
Refunds: If you are dissatisfied with the Service, you may request a refund within fourteen (14) days of your initial purchase or most recent annual renewal. Refunds are not available for monthly renewals beyond the initial purchase.
8. Blockchain Anchoring and Immutable Records
To provide independently verifiable proof of document integrity, Zdottedline anchors cryptographic hash values (SHA-256 hashes and Merkle roots) to the Polygon blockchain. By using the Service, you acknowledge and consent to the following:
- Only cryptographic hashes are recorded on the blockchain — no document content, personal information, or signature images are stored on-chain
- Blockchain records are permanent and immutable by design — once recorded, they cannot be modified, recalled, or deleted by Zdottedline or any third party
- These hashes serve solely as integrity proofs that enable anyone to verify that a document has not been tampered with since signing
- On-chain hashes cannot be used to reconstruct, derive, or identify the contents of the original document
9. Data Protection
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR and CCPA where applicable. We implement industry-standard security measures to protect your data, including AES-256 encryption, TLS 1.2+ transport security, and comprehensive audit logging. 10. Indemnification
You agree to indemnify, defend, and hold harmless ZDottedLine Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service or any activity under your account
- Customer Data you upload, transmit, or make available through the Service
- Your violation of these Terms or any applicable law
- Your infringement of any third-party intellectual property, privacy, or other rights
- Any dispute between you and a signer or other third party related to documents processed through the Service
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZDOTTEDLINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
ZDOTTEDLINE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO ZDOTTEDLINE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
THE FOREGOING LIMITATIONS SHALL NOT APPLY TO LIABILITY ARISING FROM (I) ZDOTTEDLINE'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, (II) DEATH OR PERSONAL INJURY CAUSED BY ZDOTTEDLINE'S NEGLIGENCE, OR (III) ANY LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ZDOTTEDLINE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
ZDOTTEDLINE DOES NOT PROVIDE LEGAL ADVICE AND MAKES NO WARRANTY OR REPRESENTATION REGARDING THE LEGAL ENFORCEABILITY OF ANY ELECTRONIC SIGNATURE IN ANY PARTICULAR JURISDICTION OR FOR ANY PARTICULAR TRANSACTION TYPE. YOU ARE SOLELY RESPONSIBLE FOR CONSULTING WITH QUALIFIED LEGAL COUNSEL REGARDING YOUR SPECIFIC USE CASE.
13. Copyright and DMCA
Zdottedline respects intellectual property rights and expects users to do the same. If you believe that content available through the Service infringes your copyright, you may submit a notice pursuant to the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent:

Your notice must include: (a) identification of the copyrighted work, (b) identification of the allegedly infringing material, (c) your contact information, (d) a statement of good-faith belief, and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.
14. Termination
By You: You may terminate your account at any time through your account settings or by contacting support. You will have thirty (30) days after termination to export your data.
By Us: We may suspend or terminate your access to the Service immediately if you materially breach these Terms, engage in fraudulent activity, or pose a security risk. We will provide notice and an opportunity to cure for non-material breaches before termination.
Effect of Termination: Upon termination, your license to use the Service ceases. We will retain audit logs and blockchain anchor records as required by applicable law and our data retention policies. Sections 5, 8, 10, 11, 12, 15, 16, and 17 survive termination.
15. Dispute Resolution and Arbitration
Informal Resolution: Before initiating any formal proceeding, you agree to first contact us at legal@zdottedline.com and attempt to resolve the dispute informally for at least thirty (30) days.
Binding Arbitration: If we cannot resolve the dispute informally, any controversy or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Miami, Florida. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: YOU AND ZDOTTEDLINE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one party's claims and may not preside over any form of class or representative proceeding.
Exceptions: Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction for intellectual property infringement or unauthorized access. Claims within small claims court jurisdiction may be brought in small claims court in lieu of arbitration.
16. Governing Law and Venue
These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. To the extent that litigation is permitted under Section 15, exclusive jurisdiction and venue shall lie in the state and federal courts located in Miami-Dade County, Florida.
17. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy, SLA, and any Order Forms, constitute the entire agreement between you and Zdottedline and supersede all prior agreements, representations, and understandings.
Severability: If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver: No failure or delay by Zdottedline in exercising any right shall constitute a waiver of that right.
Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
Force Majeure: Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, war, terrorism, government action, power failures, internet disruptions, or third-party service outages.
Notices: We may provide notices to you via email to the address on your account or through the Service. You may provide notices to us at legal@zdottedline.com.
18. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or platform notice at least thirty (30) days before taking effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of the Service before the effective date.
